Master Subscription Agreement (self-serve click-through)
Effective date: 2026-09-23 Last updated: 2026-10-09
Why this document exists
"Intake Gateway" in this agreement means Intake Gateway LLC, a New Mexico limited liability company, the same party defined in Section 1 of the Terms of Service.
Intake Gateway is a 100% self-serve product, so there is no human sales process to negotiate a bespoke Master Service Agreement. This document is the umbrella agreement a Firm accepts by clicking "I agree" during self-serve signup: it does not duplicate the Terms of Service, Privacy Policy, or DPA, it defines how they combine into one binding agreement and adds the subscription-specific commercial terms.
1. What this Master Subscription Agreement (MSA) covers
By creating an Intake Gateway account, selecting a subscription plan, and clicking "I agree" (or an equivalent affirmative action presented during signup), the Firm agrees to be bound by, together, this MSA and:
- the Terms of Service,
- the Privacy Policy,
- the Data Processing Addendum,
- the Cancellation + Refund Policy,
- and the pricing/plan terms shown on the pricing page and at checkout at the time of signup
(together, the "Agreement"). Each of those documents governs its own subject matter in full; this MSA does not restate their content.
2. Order of precedence
If a conflict exists between these documents, the more specific document controls for its specific subject (e.g. the Cancellation + Refund Policy controls over anything general the Terms of Service says about termination); this MSA controls only for questions of how the documents fit together, acceptance mechanics, and subscription-term commercial terms not addressed elsewhere.
3. Electronic acceptance is binding
Because there is no live signature process, acceptance happens electronically and is legally binding under the federal ESIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), as adopted in the Firm's state. When you accept, we record the acceptance: who accepted, the date and time, the network address and browser it was made from, and the version of each incorporated document then in effect together with a cryptographic hash of its text. That record is the definitive evidence of what you accepted and when, absent clear evidence of error.
3A. One acceptance, one Agreement
Our payment processor may ask you to accept terms of service again when you enter your card details. Any such acknowledgement confirms this same Agreement, in the versions identified in our acceptance record for your account. It is not a separate agreement, it does not replace, supersede or vary the Agreement or any document it incorporates, and it creates no second set of terms. Where the processor's record and ours differ in any respect, our acceptance record controls.
4. Authority to bind the Firm
The person clicking "I agree" represents and warrants that they are authorized to enter into this Agreement on behalf of the Firm identified in the account.
5. Subscription term, plan, and changes
There is one plan and one price. It is set at signup and shown in your account and on our pricing page — the number lives there, not in this document, so a price change doesn't require a new version of this agreement. The Service is not metered: there is no usage-based component, no per-call or per-minute charge and no overage, as set out in Section 7 of the Terms of Service. Subscriptions auto-renew each billing period unless cancelled per the Cancellation + Refund Policy. With one plan there is nothing to upgrade or downgrade between, so no mid-cycle proration arises.
6. Amendments to the incorporated documents
Because this is a no-human-contact relationship, amendments work the same way for every incorporated document except the Privacy Policy, whose own "Changes" section governs it: an update takes effect when we post it, and for a material change we will also email the Firm at the account's registered address when it is posted. A change does not apply to a claim that accrued, or a dispute that arose, before it took effect; the version in effect at that time governs it. Continued use of the Service after a change takes effect constitutes acceptance of the updated document. A Firm that does not agree to a change may cancel per the Cancellation + Refund Policy.
7. Miscellaneous
This MSA, together with the documents it incorporates, is governed by the same governing-law and venue terms stated in the Terms of Service, Section 16. Questions: contact@intakegateway.com.
